On October 31, Borovtsov & Salei Partner Nadezhda Znak participated as a speaker and expert in the online event “Reorganization of Legal Entities: Changes, Action Algorithm, Forms, Case Analysis.”

Drawing on many years of experience and the practice of Borovtsov & Salei, the expert focused on problematic issues and practical challenges arising in the course of reorganization of a legal entity in the form of a spin-off, including:

practical recommendations for preparing a decision on a spin-off;

analysis of what should be taken into account when preparing a separation balance sheet, as well as in the allocation of assets and liabilities;

a reasoned position on whether it is necessary to enter into additional agreements to previously concluded contracts with counterparties or re-execute contracts during a spin-off;
